1. ACCEPTANCE OF TERMS

Welcome to Terra.

These Terms of Service (“Terms”) govern your access to and use of Terra's websites, applications, games, marketplaces, developer services, subscription services, digital asset services, APIs, software, content, and related products and services (collectively, the “Services”).

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Terra (“Terra,” “Company,” “we,” “our,” or “us”).

By creating an account, accessing the Services, or using any part of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. ELIGIBILITY

You must:

• Be at least 18 years old; or
• Have the consent of a parent or legal guardian where permitted by applicable law.

You represent and warrant that:

• You have legal capacity to enter into this agreement.
• Your use of the Services complies with applicable laws.
• Information provided to Terra is accurate and current.

Terra reserves the right to verify eligibility at any time.

3. ACCOUNT REGISTRATION

To access certain Services, you must create an account. You agree to:

• Maintain accurate, current, and complete account information.
• Protect your credentials and maintain password confidentiality.
• Notify Terra immediately of any unauthorized account access.
• Accept responsibility for all activities occurring under your account.

Terra may suspend, restrict, or terminate accounts suspected of unauthorized, fraudulent, abusive, or illegal activity.

4. THE TERRA PLATFORM

Terra provides:

• Browser-based gaming experiences
• Digital asset marketplaces and trading systems
• Subscription services and early access features
• Developer tools and NFT infrastructure
• Payment processing solutions and community features

Terra may modify, improve, discontinue, or replace Services at any time. Nothing in these Terms guarantees uninterrupted access to the Services.

Terra may facilitate transactions involving digital assets. Users are solely responsible for:

• Pricing and transaction decisions.
• Asset verification and tax obligations.

Terra does not guarantee market liquidity, asset value, buyer availability, or future demand. Terra reserves the right to remove listings, reverse fraudulent transactions, freeze suspicious accounts, or restrict marketplace access.

7. PAYMENTS AND FEES

Users may purchase products and services using credit/debit cards, supported digital payment methods, approved stablecoins, or other approved payment methods. Applicable fees (such as transaction, marketplace, subscription, or processing fees) are disclosed prior to purchase. Unless required by law, all fees are non-refundable.

8. SUBSCRIPTIONS

Terra may offer premium subscriptions. Benefits may include exclusive content, marketplace advantages, early access features, special rewards, or enhanced trading functionality. Subscriptions automatically renew unless cancelled before the renewal date. Terra reserves the right to modify subscription pricing upon reasonable notice.

9. DEVELOPER PROGRAM

Developers may publish games and content through Terra, retaining ownership of their intellectual property. By publishing on Terra, developers grant Terra a worldwide, non-exclusive license to host, display, distribute, promote, and process transactions for the content. Developers must ensure content complies with laws and third-party rights.

10. USER-GENERATED CONTENT

You retain ownership of content you create, upload, post, or share. You grant Terra a worldwide, non-exclusive, royalty-free license to host, display, reproduce, modify for technical purposes, distribute, and promote your content. Content must not violate laws, infringe intellectual property, contain malware, promote scams, harass, incite violence, or contain hate speech. Terra may remove content at its sole discretion.

11. PROHIBITED ACTIVITIES

Users may not:

• Cheat, exploit games, or manipulate marketplaces
• Circumvent fees or use bots without authorization
• Engage in money laundering or conduct fraudulent transactions
• Reverse engineer protected systems or access unauthorized systems
• Interfere with platform operations or violate sanctions/trade restrictions

Violation may result in account suspension, asset restrictions, or permanent account termination.

12. INTELLECTUAL PROPERTY

All Terra trademarks, software, branding, designs, interfaces, documentation, and proprietary technology remain the exclusive property of Terra or its licensors. Nothing in these Terms transfers ownership of Terra intellectual property. Users may not copy, distribute, modify, or exploit Terra intellectual property without written permission.

13. TAXES

Users are solely responsible for income, capital gains, sales, VAT, and cryptocurrency reporting taxes and requirements. Terra does not provide tax advice; please consult a qualified tax professional.

14. SECURITY

Users are responsible for maintaining the security of their accounts, devices, and authentication credentials. Terra employs commercially reasonable security measures but cannot guarantee absolute security.

15. THIRD-PARTY SERVICES

The Services may integrate with third-party providers (payment processors, blockchain networks, analytics, authentication, etc.). Terra is not responsible for third-party services or their actions.

16. TERMINATION

Terra may suspend or terminate accounts if Terms are violated, fraud is suspected, security risks arise, or legal obligations require action. Upon termination, access may cease immediately. Certain assets may remain accessible on public blockchains. Outstanding obligations survive termination.

17. DISCLAIMERS

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, Terra disclaims all warranties (merchantability, fitness, non-infringement, continuous availability, accuracy). Terra does not guarantee that the services will be error-free, digital assets will retain value, marketplaces will remain active, or games will continue operating indefinitely.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Terra, its officers, directors, employees, investors, advisors, affiliates, and partners shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

Terra's total liability shall not exceed the greater of:

1. The amount paid by the user to Terra during the twelve (12) months preceding the claim; or
2. One Hundred United States Dollars (USD $100).

19. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Terra and its affiliates from claims, damages, liabilities, losses, expenses, and legal fees arising from your use of the Services, violation of these Terms, content, transactions, or infringement of third-party rights.

20. FORCE MAJEURE

Terra shall not be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, cyberattacks, government actions, internet outages, blockchain failures, labor disputes, war, or public health emergencies.

21. GOVERNING LAW

These Terms shall be governed by the laws of the jurisdiction in which Terra is incorporated, without regard to conflict of law principles.

22. DISPUTE RESOLUTION

Before initiating legal proceedings, parties agree to attempt good-faith resolution through negotiation. Any unresolved dispute shall be submitted to binding arbitration, except where prohibited by law. Users waive participation in class-action lawsuits to the maximum extent permitted by applicable law.

23. CHANGES TO TERMS

Terra may update these Terms from time to time. Material changes will be communicated via website notices, platform notifications, or email. Continued use of the Services after updates constitutes acceptance of the revised Terms.
